Role Overview
The Manager – Legal will be a senior member of the Exotel Legal team, with primary responsibility for commercial contracting, maintaining product terms and conditions, contract standardization, business advisory and dispute resolution.
This role requires a commercially minded lawyer who can independently manage complex domestic and international transactions, provide practical advice to business teams and develop scalable contracting processes in a fast-moving, high-growth environment.
Key Responsibilities
Commercial Contracts
- Independently draft, review, negotiate and conclude domestic and international commercial contracts, including master services agreements, SaaS and subscription agreements, service agreements, statements of work, order forms, reseller and partnership agreements, and procurement contracts.
- Assess the legal and commercial risks of proposed transactions and tailor contractual positions in line with Exotel’s approved standards and risk appetite.
- Create, standardize and periodically revise agreement templates, clause libraries, negotiation playbooks and contracting guidance.
- Draft and maintain product and platform documentation, including online and clickwrap terms and conditions.
- Improve contracting workflows and develop practical self-service mechanisms for standard and repeat transactions.
Business and International Advisory
- Provide clear, practical and decision-ready advice to business stakeholders, balancing commercial objectives with appropriate legal protection.
- Manage cross-border contracting and related business advisory, coordinating with local counsel and external advisers where jurisdiction-specific advice is required.
Disputes and Litigation
- Support the review and response to legal notices, contractual disputes, claims, arbitration, litigation and related proceedings.
- Work with internal stakeholders and external counsel to collect relevant information, assess exposure, develop strategy, manage proceedings and maintain appropriate records.
Mandatory Skills
- LL.B. from a recognized university.
- 7–9 years of relevant post-qualification experience, with substantial commercial contracting experience.
- Prior in-house experience in a startup or other high-growth environment.
- Demonstrable experience independently drafting, negotiating and concluding complex commercial and technology contracts.
- Experience creating and revising contract templates, clause libraries, playbooks and online terms and conditions.
- Strong legal and commercial judgment, with the ability to identify material risks and provide practical solutions.
- Ability to work independently, manage competing priorities and take ownership of outcomes.
- Excellent drafting, negotiation and communication skills.
Preferred Skills
- LL.M. or another relevant postgraduate legal qualification.
- Experience in a B2B technology, SaaS, telecommunications, CPaaS, CCaaS or services business.
- Exposure to international contracts, particularly in the Middle East, Africa or Southeast Asia.
- Buy-side or procurement contracting experience.
- Experience handling litigation, contractual disputes or external-counsel coordination.
